Managed Plan Agreement
The commercial terms of the Managed Plan, in plain language. This agreement and your Business Associate Agreement govern the binding details.
What the Managed Plan is
The Managed Plan is one service, not a menu. Failsafe Digital designs and builds your practice a custom, compliant website on our vetted stack, then hosts it, monitors it with Compliance Shield, holds the Business Associate Agreement chain end to end, runs your secured patient forms on the compliant path, and includes a set number of site-update hours every month.
Every plan includes the full feature set. The tiers differ only by volume: the number of pages, the number of physical locations, and the included monthly hours. No feature is locked behind a higher tier.
Tiers, pricing, and what counts
Pricing is transparent and set by tier. The price shown to you at checkout, the one-time setup fee and the monthly amount, is the price. Your tier is the higher of your page band and your location band.
Page count is substantive pages only. Legal, terms, and auxiliary pages do not count, and your blog counts as a single page regardless of how many posts it holds.
Content migration is included: we re-use your existing content and bring over up to 50 blog articles. Each additional set of 50 articles is $100, one time, added to your setup. We do not perform platform or site migrations; we build your site fresh on our stack and re-create your content on it.
Setup fee
The one-time setup fee is due at checkout and is non-refundable. It covers the design and build of your site. Ownership of the finished site and its non-PHI assets passes to you, and is released to you on exit as described below.
Monthly subscription and term
The monthly amount is billed to the payment method on file, starting at checkout, for an initial term of 24 months. After the initial term, the plan continues month to month until you cancel.
The monthly subscription is the hosting, the datastore, the Compliance Shield monitoring, and the Business Associate Agreement your site depends on. There is no version where you keep the site and leave the compliance behind, because the compliance is the platform.
Included hours and additional work
Your plan includes a set number of site-update hours each month, shown at checkout for your tier. Unused hours do not roll over. Work beyond your included hours, or project work outside the scope of a standard practice site, is quoted as a separate statement of work, and we tell you the number before any additional charge.
The Business Associate Agreement comes next
Right after checkout, you sign a Business Associate Agreement with Failsafe Digital. No patient-facing form goes live, and no protected health information flows, until the Business Associate Agreement is executed. Your site runs on our platform under that agreement.
Cancellation and early termination
You may cancel at any time. The setup fee is non-refundable. If you end the plan before the end of the initial 24-month term, the remaining months of the monthly fee for that term are owed.
When the plan ends, it ends cleanly. The Business Associate Agreement terminates first, protected health information in our datastore is destroyed, our hosting and datastore and email relay come down, and within 30 days we release your full site codebase and every non-PHI asset that belongs to you so you can take it elsewhere. We never hold your files for leverage.
Responsibility and limits
Failsafe Digital takes direct responsibility for keeping the web layer compliant and signs the Business Associate Agreement for it. Your broader HIPAA program, your front desk, your EHR, your staff training, and your risk analysis, stay with you and your counsel.
Our total liability under the plan is limited to the fees you have paid. Nothing here is legal advice; we are a web and compliance studio, not a law firm. This agreement and the Business Associate Agreement govern the binding details, and we will tell you when to loop in counsel. Governing law is the State of Alabama.
